1. Agreement to Terms
By engaging SBS Applications LLC ("SBS," "we," "us," or "our") for software development services, you ("Client," "you," or "your") agree to be bound by these Terms of Service. If you do not agree, do not engage our services.
2. Services
SBS Applications provides custom software development services across three tiers: Starter, Business + Maintenance, and Enterprise. Each engagement is scoped, priced, and delivered according to the agreed-upon tier and project requirements.
3. Pricing & Payment
- Each tier includes a fixed rate for a set number of development hours.
- All time is tracked and a complete time log is presented upon delivery of the product.
- All included hours will be used in full on the project.
- Additional hours beyond the included allocation can be purchased at a rate of $50/hour.
- Production costs — including but not limited to APIs, hosting, domain registration, third-party services, and app store fees — are incurred by the Client and are not included in SBS’s service fees.
- Payment terms will be outlined in the project agreement. A deposit may be required before work begins.
4. Revisions
- The Starter tier includes 1 revision round.
- The Business + Maintenance tier includes 3 revision rounds.
- Enterprise revision terms are scoped per project.
- A "revision" is defined as a set of change requests submitted together after a deliverable milestone.
- Additional revisions beyond the included allocation will be billed at the hourly rate.
5. Delivery & Handoff
Upon project completion:
- SBS delivers the full codebase, documentation, environment configurations, API credentials, and a recorded architecture walkthrough.
- A sign-off agreement is executed transferring full ownership to the Client.
- The Client may host, modify, extend, or hire third parties to maintain the delivered software with no restrictions.
- A complete time log of all hours worked is provided with the final deliverable.
6. Guaranteed Delivery
Each tier comes with a guaranteed delivery timeline. If SBS fails to deliver within the agreed timeline due to reasons within SBS’s control, SBS will work to complete the project at no additional charge for the remaining scope.
7. Intellectual Property
- Upon full payment and sign-off, all intellectual property rights to the delivered software are transferred to the Client.
- SBS retains the right to use general techniques, knowledge, and non-proprietary components developed during the engagement.
- SBS may reference the project in marketing materials (e.g., portfolio) unless the Client requests otherwise in writing.
8. Confidentiality
SBS agrees to keep all Client information, business data, and project details confidential. This obligation survives the termination of the engagement.
9. Limitation of Liability
SBS Applications' total liability for any claim arising from our services shall not exceed the total amount paid by the Client for the specific project in question. SBS is not liable for indirect, incidental, consequential, or punitive damages.
10. Termination
- Either party may terminate the engagement with 14 days' written notice.
- Upon termination, the Client pays for all hours worked to date. SBS delivers all work completed up to that point.
- Deposits are non-refundable if work has commenced.
11. Dispute Resolution
Any disputes arising from these Terms shall be resolved through good-faith negotiation. If unresolved, disputes will be subject to binding arbitration in the state where SBS Applications is registered.
12. Modifications
SBS reserves the right to update these Terms at any time. Changes take effect upon posting to sbsapps.net. Continued engagement with SBS after changes constitutes acceptance.
